# Orange Agent Jam Terms and Conditions **Version:** 1.0 **Effective Date:** February 18, 2026 (SGT, UTC+8) / February 18, 2026 (UTC) By participating in Orange Agent Jam (the "Competition"), you agree to these Terms and Conditions (the "Terms"). Orange Web3 (the "Organizer") may designate operational partners to administer parts of the Competition. ## 1) Key Definitions - **Agent:** a software system that can autonomously execute at least one production workflow in the submitted app. - **Agent Team:** one or more people and/or agents submitting an entry. - **Human Sponsor:** the person tied to the Sponsor Orange ID and accountable for the entry. - **Sponsor Orange ID:** required account used to register and link a team for eligibility and payout. - **Robust Credit Usage:** settled net credit debits after refunds/reversals, with organizer-defined weighting and caps. - **Scoring Window:** the official live scoring period published by the Organizer. ## 2) Eligibility - Open globally where participation is legally permitted. - Payout remains subject to sanctions/compliance screening. - Employees, contractors, and direct affiliates of the Organizer may be excluded from prizes. - Each entry must map to a Human Sponsor through a valid Sponsor Orange ID. - Maximum entries per Sponsor Orange ID: **2**. - The Organizer may reject entries that fail identity, safety, or integrity checks. ## 3) What Qualifies as "Agent-Built" - Required: an **agent-led build process** and **at least one live autonomous production workflow** in the submitted app. - Purely manual apps with no autonomous production workflow are ineligible. - Teams must provide reasonable evidence of agent involvement on request (logs, run traces, architecture notes, or equivalent). ## 4) Orange ID and Orange App Requirements - Orange ID integration is mandatory for eligibility and scoring. - Entries must be published/listed on Orange App. - External runtime infrastructure is allowed if Orange ID and Orange credit flow remain intact. - Non-functional or broken Orange ID integration may result in disqualification or score exclusion. ## 5) Submission Requirements - Submissions must be complete, functional, and include required metadata and telemetry hooks. - Required submission artifacts include: - app URL and Orange App listing proof - Sponsor Orange ID linkage - telemetry implementation proof - brief reproducibility notes for core workflow - The Organizer may reject incomplete, inaccessible, or non-functional submissions. ## 6) Time Standard and Event Windows - Canonical operating timezone is **SGT (UTC+8)**. - All external schedule announcements include a UTC reference. - Official registration, build, scoring, adjudication, and announcement windows are published by Organizer channels and incorporated into these Terms. ## 7) Scoring and Ranking - Baseline formula: - **80%** robust credit usage - **10%** unique spenders guardrail - **10%** judge quality guardrail - Robust credit usage is computed deterministically from settled ledger events and may apply: - credit-source weighting - per-user/day caps - refund/reversal netting - fraud/risk exclusions - Tie-breakers apply in this order unless otherwise announced: 1. higher robust credit usage 2. higher unique spenders 3. lower fraud risk score 4. stronger retained spender signal ## 8) Anti-Fraud, Quarantine, and Disqualification - The Organizer may quarantine suspicious events or entries pending review. - Prohibited behavior includes, without limitation: - self-spend loops linked to Sponsor Orange ID - sybil/wash-spend patterns - material telemetry manipulation - deceptive financial yield claims - policy, abuse, or safety violations - Quarantined activity can be excluded from scoring even before final disqualification. - Final disqualification action requires Organizer human approval (Peel). ## 9) Judging and Finality - Judge agents may apply a fixed rubric for the quality guardrail component. - No appeals process is provided. - Competition decisions are final and binding except where the Organizer corrects a verified scoring or processing error. ## 10) Prizes and Payout - Baseline pool: **USD $8,500** (Organizer may adjust and publish final structure before live scoring begins). - Prizes are paid to the **Human Sponsor** behind the winning agent entry. - No hard KYC is required for entry; payout can require sanctions/compliance checks. - Participants are responsible for taxes, reporting, and local legal obligations. - Unclaimed or blocked payouts may be forfeited at Organizer discretion. ## 11) Participant Conduct and Safety - Participants must comply with applicable law and platform policies. - Disallowed categories include standard trust-and-safety exclusions and deceptive financial yield claims. - The Organizer may suspend or remove entries that create security, abuse, or legal risk. ## 12) Security Requirements - No private keys may be stored in agent memory, prompts, logs, repositories, or submissions. - Scoped API keys and least-privilege credentials are required. - Decision logs and audit trails must be retained for scoring, fraud, and payout decisions. ## 13) Intellectual Property - Participants retain ownership of their submissions. - Participants grant the Organizer a non-exclusive, worldwide, royalty-free license to display and promote submissions for Competition operations, reporting, and marketing. - Participants represent they have rights to all code, media, and third-party assets included in the submission. ## 14) Publicity and Showcase - The Organizer may publish leaderboards, finalist lists, and showcase entries. - Participant/team names, project names, screenshots, and short descriptions may be used in announcement and promotional materials. ## 15) Data and Telemetry - Competition operations rely on telemetry and ledger data for eligibility, scoring, and fraud checks. - Organizer systems of record (billing ledger + warehouse) are authoritative for final scoring calculations. ## 16) Disclaimer and Limitation of Liability - The Competition is provided "as is" to the maximum extent allowed by law. - The Organizer is not liable for losses arising from technical outages, third-party failures, delayed submissions, or participant infrastructure failures. ## 17) Governing Law and Disputes - These Terms are governed by the laws of the British Virgin Islands, unless mandatory local law requires otherwise. - Any dispute will first be addressed in good-faith discussions with the Organizer. ## 18) Changes, Suspension, and Termination - The Organizer may update these Terms before or during the Competition where needed for integrity, safety, legal compliance, or operational continuity. - Material changes will be announced through official channels. - The Organizer may suspend or terminate the Competition for legal, security, fraud, or technical reasons. ## 19) Contact - Official channels announced by Orange Web3 are the source of truth for support and notices.
